ESOP Tax Treatment Uncertain as Courts Differ on Pre-Exercise Payouts

The tax treatment of employee stock options (ESOPs) faces new uncertainty due to conflicting court rulings on taxing payouts from vested but unexercised options. The Bangalore ITAT ruled that repurchased vested options could be a capital asset, taxable as long-term capital gains. This contrasts with earlier Karnataka and Delhi High Court decisions viewing such compensation as non-taxable salary perquisites. However, the Madras High Court recently ruled such compensation taxable as a salary benefit.
