Tata Trusts Chairman Noel Tata has proposed a restructuring plan to prevent Tata Sons from listing on the stock market. The plan involves merging two unlisted group companies, Tata Electronics Systems Solutions and Tata Consulting Engineers, directly into Tata Sons. This strategic move aims to make Tata Sons an operating-cum-holding company, thereby circumventing RBI regulations for Non-Banking Financial Companies (NBFCs). The merger would significantly increase operating revenue, pushing it beyond the threshold that triggers mandatory listing requirements.
